These Affiliate Terms & Conditions (“Terms”) govern participation in the MSMM Consulting Inc. affiliate program.

By registering as an affiliate, accessing affiliate links, or promoting any MSMM Consulting Inc. products, you (“Affiliate,” “you”) agree to be bound by these Terms.

1. Eligibility & Participation

Affiliate participation is open to individuals who are at least 18 years of age, as well as organizations, NGOs, and influencers who register for the affiliate program.

Participation is voluntary and does not create an employment relationship, legal partnership, joint venture, or agency relationship.

If you are an affiliate or influencer for any other product that prohibits you from promoting digital products from MSMM Consulting Inc., you are not eligible to participate in our affiliate program.

2. Commission Structure

Standard affiliates earn a 20% commission on eligible product purchases completed through their unique affiliate link.

The Company may, at its sole discretion, approve a higher commission rate for certain affiliates. Any commission rate other than the standard 20%:

• must be expressly approved in writing by MSMM Consulting Inc.;

• may be confirmed via email from an authorized Company representative; and

• applies only to the specific affiliate receiving such approval.

Verbal agreements or informal discussions do not constitute approval.

3. Tracking & Attribution

Affiliate commissions are tracked through the Company’s affiliate platform.

Commissions are payable only for purchases that are:

• correctly attributed to the Affiliate’s unique link;

• completed and not refunded; and

• not subject to disputes or chargebacks.

The Company is not responsible for tracking failures due to technical issues, browser settings, or incorrect link usage.

4. Payments & Refunds

Commissions are paid only on completed, non-refunded transactions.

Refunds, chargebacks, reversals, or disputed transactions will result in commission reversal.

Payment schedules, thresholds, and methods are determined by MSMM Consulting Inc.

Affiliate commissions will be paid using a payment method determined by MSMM Consulting Inc. from time to time. Affiliates are responsible for providing accurate payment details and complying with any requirements of the selected payment method.

Upsells, downsells, one-time offers (OTOs), and other promotional products may be eligible for affiliate commissions at the Company’s discretion. Commission eligibility for specific products, promotions, or offers may vary and will be determined by the Company from time to time.

Affiliate Payment Policy

Affiliates will earn a commission of 20% on the product price of each qualifying sale made through their unique referral link. Commissions are calculated on the product price only and do not include taxes or any refunded transactions. If a purchase is refunded, canceled, disputed, or charged back, the related commission will not be paid or may be deducted from the affiliate’s balance.

Affiliate commissions are paid once the total approved commission balance reaches a minimum of $30 CAD. If the balance is below $30 CAD, it will remain in the affiliate account and continue to accumulate until the minimum payout amount is reached. Commissions are held for 14 days to allow for the refund period and to ensure the transaction is fully completed before payout.

Payments will be made to the PayPal email address provided by the affiliate. It is the affiliate’s responsibility to ensure their PayPal information is accurate. The Company reserves the right to withhold or cancel commissions in cases of suspected fraud, abuse, or violation of these Terms.

Commission Tracking & Verification

Affiliate commissions are calculated based solely on the transaction records generated by our platform, Systeme.io.

Only purchases that are correctly tracked through the affiliate system and successfully completed are eligible for commission.

Commissions are payable only after the payout delay period has passed and the transaction has not been refunded, disputed, or reversed.

The Company cannot manually assign commissions for sales that were not recorded by the system.

The Company reserves the right to adjust or cancel commissions in cases of refunds, chargebacks, fraudulent activity, or violations of the Affiliate Terms.

This helps maintain fairness and transparency for all affiliates.

Link Responsibility

Affiliates are responsible for using their correct affiliate links when promoting the product.

Commissions cannot be applied retroactively to purchases made without the affiliate tracking link.

Accounts associated with repeated refund requests may be removed from the affiliate program.

Self-Referral Policy

Affiliates may not earn commissions on purchases made by themselves.
The Company reserves the right to cancel commissions associated with self-referrals or refund abuse.

5. Marketing & Promotion Standards

Affiliates agree to promote products honestly, ethically, and in good faith.

Affiliates may not:

• make income, earnings, or success guarantees;

• misrepresent the product or its benefits;

• impersonate the Company;

• use misleading or deceptive advertising;

• use Company trademarks or branding without permission; or

• engage in spam, illegal advertising, or unethical practices;

• infringe on the intellectual property rights of any other person or entity.

Affiliates must comply with all applicable advertising, consumer protection, and anti-spam laws.

6. Affiliate Disclosures

Affiliates must clearly disclose their affiliate relationship (e.g., “I may earn a commission if you purchase through my link”).

7. Intellectual Property

All intellectual property rights in the Product are owned by the author. MSMM Consulting Inc. is authorized to publish, market, and distribute the Product on the author’s behalf.

Affiliates acquire no ownership rights and may use promotional materials only as expressly permitted under these Terms.

8. Voluntary Termination by Affiliate

Affiliates may cancel their participation at any time by:

• providing written notice (including email), or

• ceasing use of affiliate links.

Upon termination:

• all affiliate links and promotions must stop immediately;

• no new commissions accrue after termination; and

• eligible unpaid commissions earned before termination will be paid according to standard terms.

9. Termination by the Company

MSMM Consulting Inc. may suspend or terminate affiliate participation at any time, with or without cause.

Upon termination, the Company may withhold or reverse commissions related to refunds, disputes, policy violations, or misconduct.

10. Confidentiality & Survival

Any confidentiality, intellectual property, or non-disclosure obligations survive termination of affiliate participation.

11. Limitation of Liability

The Company is not liable for indirect, incidental, or consequential damages arising from affiliate participation.

Total liability is limited to commissions paid to the Affiliate in the preceding three (3) months.

12.  Indemnification by Affiliate

Affiliate hereby agrees to indemnify, defend, and hold harmless Company from and

against any third-party liability incurred by Company  (a) related to or arising out of or from Affiliate’s negligent acts or omissions in the provision of the services and/or (b) related to or arising out of or from Affiliate’s breach of any representation, warranty, obligation, or agreement by Affiliate contained in this Agreement or otherwise arising out of the Affiliate’s promotion of the Company’s digital products.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. By agreeing to participate in this affiliate program, you agree to exclusively attorn to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

14. Changes to These Terms

The Company may update these Terms at any time. Continued participation in the affiliate program constitutes acceptance of the updated Terms.
